Blackbird Firm, LLC – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website www.blackbirdfirm.com and any related pages, emails, forms, downloads, or other media (collectively, the “Site”), as well as the marketing-strategy, fractional-CMO or CRO, and digital-execution services we offer (the “Services”). By visiting the Site, submitting an inquiry, booking a demo, or otherwise engaging with Blackbird Firm, LLC (“Blackbird,” “we,” “our,” or “us”), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, do not use the Site or engage our Services.
1. Scope of the Site and Services
The Site provides general information about our growth-engineering consultancy and a channel for prospective clients to request consultations or demonstrations. We do not offer account-based access, customer dashboards, or user-generated content features. Any professional engagement for paid Services will be set out in a separate written agreement (“Master Services Agreement” or “Statement of Work”). If there is a conflict between those documents and these Terms, the signed agreement controls for the matters it addresses.
2. Eligibility and Responsibility
You represent that you are at least 18 years old, have full power and authority to enter into these Terms on behalf of yourself or any entity you represent, and will use the Site and Services only in compliance with applicable laws and these Terms. You are responsible for all activity that occurs under your name or through information you submit.
3. Changes to Terms or Services
We may revise these Terms or modify, suspend, or discontinue any portion of the Site at any time in our sole discretion. If we make material changes, we will post the revised Terms and update the “Effective Date”; continued use after such posting constitutes acceptance.
4. Intellectual Property
All content on the Site—including text, graphics, logos, software, audio, video, and design elements—is owned by or licensed to Blackbird and is protected by U.S. and international intellectual-property laws. You may view, download, or print Site content solely for your own informational, non-commercial use. You may not copy, reproduce, modify, distribute, display, perform, create derivative works, or exploit any part of the Site except as expressly permitted in writing.
5. Acceptable Use
You agree not to:
- interfere with, disrupt, or compromise the integrity or security of the Site;
- use any automated means (bots, scrapers, spiders) to access or copy Site content;
- transmit any malware, harmful code, or unlawful content;
- misrepresent your identity or affiliation; or
- use the Site or Services for any purpose that is fraudulent, defamatory, obscene, or otherwise illegal.
We reserve the right to investigate and prosecute violations to the fullest extent of the law.
6. User-Provided Materials
If you provide ideas, feedback, files, or other content to us (“User Content”), you grant Blackbird a perpetual, worldwide, royalty-free license to use, reproduce, display, and adapt that User Content for the purpose of providing or improving the Services. You represent that you have the necessary rights to grant this license and that your User Content will not infringe or violate the rights of any third party.
7. Third-Party Links and Integrations
The Site may link to third-party websites or services that we do not control (e.g., social-media platforms, calendar-booking tools). Blackbird is not responsible for the content, privacy practices, or performance of such third parties, and accessing them is at your own risk. Integrations—such as a customer-relationship-management (CRM) platform—will likewise be subject to separate terms supplied by the provider.
8. No Professional Advice & No Performance Guarantee
Information on the Site is provided for general marketing and educational purposes only and does not constitute legal, financial, tax, or other professional advice. Results-oriented statements (e.g., increases in customer lifetime value) are illustrative; actual outcomes depend on numerous variables beyond our control. We make no warranties or guarantees, express or implied, that any specific business results will be achieved.
9. Disclaimers
The Site and Services are provided “as is” and “as available.” To the maximum extent permitted by law, Blackbird disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, uninterrupted or error-free operation, and accuracy of informational content. We do not warrant that the Site will be secure, available, or virus-free.
10. Limitation of Liability
To the fullest extent permitted under applicable law, Blackbird Firm, LLC, its owners, employees, contractors, and agents shall have no liability whatsoever for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages—including lost profits, lost revenue, lost data, business interruption, or reputational harm—arising out of or connected with (a) your access to or use of, or inability to access or use, the Site or Services; (b) any conduct or content of any third party; or (c) any unauthorized access, use, or alteration of your transmissions or data, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations; if such laws apply, our liability will be limited to the smallest amount allowed by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Blackbird and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your misuse of the Site or Services, or your infringement of any intellectual-property or other right of any person or entity.
12. Governing Law & Venue
These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Except as provided in Section 13 (Arbitration), the state or federal courts located in Sarasota County, Florida, shall have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.
13. Dispute Resolution & Arbitration
Any controversy or claim arising out of or relating to these Terms or the breach thereof—except claims seeking injunctive relief for intellectual-property infringement—shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will take place in Collier County, Florida, before a single arbitrator. Judgment on the award may be entered in any court with jurisdiction. YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
14. Termination
We may terminate or suspend your access to the Site, in whole or in part, at any time and without notice if we believe you have violated these Terms or applicable law. Sections that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, governing law, and dispute resolution) will continue to apply.
15. Severability & Waiver
If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.
16. Entire Agreement
These Terms constitute the entire agreement between you and Blackbird regarding the Site and Services, superseding all prior or contemporaneous oral or written understandings. Headings are for convenience only and have no legal effect.
